1. Acceptance of these terms
These Terms and Conditions (“Terms”) form an agreement between you and Apptelier (“we”, “us”, or “our”) concerning your access to and use of apptelier.sg (the “Website”). By using the Website, you agree to these Terms. If you do not agree, please stop using the Website.
These Terms apply only to the public Website and related enquiries. They do not replace any quotation, proposal, statement of work, service agreement, licence, subscription terms, or other written agreement between you and Apptelier.
2. About this website
The Website presents information about Apptelier, our capabilities, selected work, and products or services we may offer. It also provides ways to contact us and request a discussion or demo.
The Website is not an online store, does not create a user account for public visitors, and does not process payments. Content on the Website is an invitation to enquire and is not, by itself, a binding offer or professional engagement.
3. Eligibility and authority
You must have the legal capacity to agree to these Terms. If you use the Website on behalf of a business or organisation, you confirm that you are authorised to act for it. If you are under the age of majority where you live, you should use the Website only with the involvement of a parent or legal guardian.
4. Enquiries and project agreements
Sending a form, email, WhatsApp message, or other enquiry does not oblige either party to proceed with a project and does not create a client, partnership, agency, employment, fiduciary, or joint-venture relationship.
Any scope, schedule, deliverable, fee, payment milestone, ownership arrangement, support commitment, warranty, cancellation right, or refund position for paid work will be stated in the applicable written proposal or agreement. If such an agreement conflicts with these Terms, the specific written agreement governs that paid work.
5. Intellectual property
Unless stated otherwise, the Website and its original design, source code, functionality, text, graphics, photographs, video, animation, branding, and other content are owned by or licensed to Apptelier and are protected by applicable intellectual property laws.
We grant you a limited, revocable, non-exclusive, and non-transferable permission to access and view the Website for personal or internal business evaluation. You may not copy, reproduce, modify, republish, sell, license, scrape, distribute, publicly display, reverse engineer, or commercially exploit Website content without our prior written permission, except where applicable law expressly permits it.
Apptelier, Sellio, and associated names, logos, and visual identities may be trademarks or protected brand assets. No right to use them is granted except as expressly agreed in writing.
6. Portfolio and third-party material
Project examples, screenshots, product names, client marks, and other third-party material may appear for identification, demonstration, or portfolio purposes. Ownership of third-party material remains with its respective owner. Inclusion does not transfer any rights or imply an endorsement beyond what is expressly stated.
7. Information you submit
You are responsible for information and materials you send through the Website or our contact channels. You confirm that you have the right to provide them and that they do not infringe another person’s rights or breach an obligation of confidentiality.
You permit us to use submitted information as reasonably necessary to review your enquiry, communicate with you, prepare a proposal, and provide requested services. Please do not send trade secrets, credentials, sensitive personal information, or highly confidential material before suitable confidentiality arrangements are in place.
General suggestions or feedback may be used to improve our Website or offerings, provided we do not disclose your confidential information or identify you without permission.
8. Prohibited use
You must not use the Website to:
- break any applicable law, regulation, court order, or third-party right;
- send unlawful, fraudulent, defamatory, abusive, harmful, or misleading material;
- introduce malware, malicious code, excessive traffic, or other harmful technology;
- probe, bypass, disable, or interfere with security or access controls;
- gain unauthorised access to systems, accounts, data, or networks;
- scrape, harvest, or systematically extract Website content without permission;
- impersonate another person or misrepresent your identity or authority; or
- disrupt the Website or interfere with another visitor’s use of it.
9. Third-party websites and services
The Website may link to Sellio, WhatsApp, social media platforms, client websites, and other third-party services. Those services are operated independently and may have their own terms and privacy policies. We do not control them and are not responsible for their content, availability, security, or practices.
A link does not necessarily constitute an endorsement. Your dealings with a third party are between you and that third party unless we expressly agree otherwise in writing.
10. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information when you use the Website or contact us. It forms part of these Terms.
11. Information, corrections, and availability
We aim to keep the Website useful and accurate, but content may be incomplete, outdated, or contain errors. We may correct, update, remove, suspend, or change Website content or functionality at any time without notice.
We do not guarantee that the Website will always be available, uninterrupted, secure, or error-free. Maintenance, provider outages, security events, and circumstances outside our reasonable control may affect access.
12. Disclaimers
The Website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties not expressly stated in these Terms, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.
Website content is general information only. It is not legal, financial, accounting, medical, cybersecurity, or other regulated professional advice and should not be relied upon as a substitute for advice suited to your circumstances.
13. Limitation of liability
To the fullest extent permitted by law, Apptelier will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising solely from use of, or inability to use, the public Website, including loss of profit, revenue, opportunity, goodwill, anticipated savings, or data.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability relating to commissioned work or a paid service is governed by the applicable written agreement for that work or service.
14. Indemnity
To the extent permitted by law, you agree to indemnify Apptelier against third-party claims, losses, and reasonable costs arising directly from your unlawful use of the Website, your material breach of these Terms, or material you submit that infringes another person’s rights.
15. Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. You and Apptelier submit to the exclusive jurisdiction of the courts of Singapore for disputes arising from these Terms or use of the Website.
Before starting formal proceedings, both parties should first attempt in good faith to resolve the dispute by written notice and reasonable discussion. Nothing in this section prevents either party from seeking urgent injunctive or protective relief.
16. General terms
If a provision of these Terms is found unlawful or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. A failure to enforce a right is not a waiver of that right.
You may not transfer your rights under these Terms without our prior written consent. We may transfer our rights and obligations as part of a business reorganisation, merger, acquisition, or transfer of the Website, subject to applicable law.
17. Changes to these terms
We may update these Terms when the Website, our practices, or legal requirements change. The revised version becomes effective when posted, as indicated by the “Last updated” date. If a change materially affects your rights, we may provide additional notice where appropriate.
